Call for Nominations

Saskatchewan Rugby is seeking to recruit dynamic, engaged, and qualified candidates to serve on our Board of Directors that embody our values, share our passion and want to help advance and strengthen our organization, the quality of our programs and the value to our membership. With two vacancies and 3 director positions reaching term at the Semi Annual General Meeting this winter, up to 5 positions are available. 

What are the duties of a Director?

Directors are responsible for setting strategy and direction for Saskatchewan Rugby and in governing the affairs of Saskatchewan Rugby on behalf of the Members. Directors have a relationship of ‘trust’ with Members, and it is from this trust relationship that important legal duties arise.

It is important to remember that the member organizations have placed their faith in the Directors to both do the right thing and do things right. Fiduciary duties of a Director are identified in federal statute and in common law, and encompass three components:

· The duty of diligence – this is the duty to act reasonably, prudently, in good faith and with a view to the best interests of Saskatchewan Rugby and its Members. Personal agendas must be set aside.

· The duty of loyalty– this is the duty to place the interests of Saskatchewan Rugby first, ahead of the interests of other associations (including Sub Union or Member Organizations), and to not use one’s position as a Director of Saskatchewan Rugby to further private interests.

· The duty of obedience– this is the duty to act within the scope of the bylaws, policies and rules of Saskatchewan Rugby, and within the scope of other laws, rules and regulations that apply. In particular, policies relating to Confidentiality, Conflict of Interest and Code of Conduct are very important.

In addition to legal duties, directors are also expected to ask needed questions, hold space for diverse views, set ethical direction, support but also challenge current practises, build community trust and credibility, model integrity and accountability, support success and shape culture through normalizing these standards:

• Possess knowledge, skills and/or expertise in one or more areas of board governance.
• Are willing to serve on committees to support Saskatchewan Rugby in doing its work.
• Prepares for, attends and participates fully in Board Meetings.
• Publicly represents the positions and views of Saskatchewan Rugby, even if they might differ from the director's personal positions or views.
• Understands and respects the confidentiality of the business of Saskatchewan Rugby.

What time and work commitments are involved?

Saskatchewan Rugby Board meets monthly. Most meetings are held by video conference call. A director is expected to be prepared for these meetings. A director should expect to spend approximately 10 hours per month on matters involving Saskatchewan Rugby.
